Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of Reelyt ("the Service," "we," "us," or "our"), an AI-powered Creator Operating System operated by Hixi Studio. By creating an account, accessing, or using Reelyt, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Definitions:

• "Content DNA" means the structured identity profile you create during onboarding, including your content pillars, voice profile, audience persona, and branding preferences.
• "Credits" are the virtual currency used to perform AI-powered operations within the Service. Credits are consumed per operation as outlined in our Credit System.
• "User Content" means any text, ideas, images, brand assets, or other materials you input, upload, or generate using the Service.
• "AI Output" means any content, suggestions, scripts, images, carousels, or other materials generated by the Service's artificial intelligence systems based on your User Content and Content DNA.
• "Platform Connections" means the authorized integrations between your Reelyt account and third-party social media platforms (currently X/Twitter and LinkedIn).
• "Subscription Tier" refers to your selected plan: Starter ($12/month), Creator ($24/month), or Pro ($49/month).

By using Reelyt, you represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction.
• You have the legal capacity to enter into a binding contract.
• You will use the Service only for lawful purposes and in accordance with these Terms.
• All information you provide during registration and throughout your use of the Service is accurate, complete, and current.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

Reelyt is an AI-powered Creator Operating System designed to help content creators generate, plan, and distribute content. The Service includes, but is not limited to:

• Creator Identity Engine: Onboarding wizard and Content DNA management system that structures your voice, pillars, and audience profile.
• Idea System: Ultra-fast capture, idea board management, expansion engine, and intelligence features including duplicate detection and clustering.
• Content Studio: Unified content generation, structured output with hook/body/CTA sections, section-level refinement, repurposing across formats, and series building.
• Visual Studio: Single image generation and branded carousel slide deck creation (3–9 slides per carousel).
• Planning System: Auto-planning calendar, daily content engine, and manual scheduling.
• Consistency System: Streak tracking, behavioral nudges, and milestone celebrations.
• Content Memory: Post history, topic tracking, repetition prevention, gap analysis, and content intelligence.
• Distribution: Direct posting to X (Twitter) and LinkedIn, including threads and multi-image carousel uploads, plus copy-and-open fallback for other platforms.
• Voice Adaptation: Script adaptation with delivery markers for spoken content (e.g., [pause], [emphasis]).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

To use Reelyt, you must create an account using email authentication or third-party OAuth providers (Google, Apple) via Firebase Authentication. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account, whether authorized by you or not.
• Notifying us immediately of any unauthorized access or security breach.
• Ensuring your account information remains accurate and up to date.

You may not share your account credentials with any other person or entity. You may not create multiple accounts to circumvent usage limits, trial restrictions, or billing mechanisms. We reserve the right to suspend or terminate accounts that violate these rules.

Account Deletion: You may delete your account at any time through the Profile settings. Upon deletion, your personal data will be removed from active systems within 30 days, subject to legal retention requirements. Anonymized usage data may be retained for analytics and service improvement purposes.

Reelyt offers the following subscription tiers, billed through our payment processor (Dodo Payments):

Billing Cycle: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled. You will be charged using the payment method on file.

Price Changes: We may adjust subscription prices with 30 days' advance notice. Price changes take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel before the change takes effect.

Failed Payments: If a payment fails, we will retry up to 3 times over 7 days. During this grace period, your account remains active. If payment continues to fail, your account will be paused and plan credits will be suspended until payment is resolved.

Upgrades & Downgrades: Upgrading takes effect immediately; you will be charged a prorated amount for the remainder of the billing cycle. Downgrading takes effect at the start of the next billing cycle. When downgrading, excess Content DNAs, pillars, or stored ideas beyond the new tier's limits must be reduced within 14 days or will be automatically archived.

Taxes: All prices are exclusive of applicable taxes, duties, or governmental charges. You are responsible for paying all such taxes associated with your subscription.

Credits are the virtual currency used to perform AI-powered operations. Each operation consumes a specific number of credits as follows:

Plan Credits: Allocated monthly based on your subscription tier. Reset at the start of each billing cycle. Do not roll over — unused plan credits expire at cycle end.

Top-Up Credits: Purchased separately in packages (Micro: 25 for $5, Standard: 60 for $10, Bulk: 150 for $20, Pro: 400 for $45). Top-up credits never expire and are used after plan credits are exhausted.

Trial Credits: Granted on signup (50 credits for 14 days). One-time only. Converted to plan credits upon subscription, or lost upon trial expiry.

Bonus Credits: Granted through referrals, promotions, or milestones. Subject to campaign-specific expiration rules.

Consumption Order: Plan credits → Trial credits → Top-up credits → Bonus credits. When all credits are exhausted, AI-powered operations are gated until you upgrade or purchase a top-up. Non-AI features (idea board, calendar viewing, library access) remain available.

Credit Refunds: Credits are non-refundable except in cases of service errors where a generation fails permanently after all retries (in which case credits are automatically refunded to your balance).

New users receive a 14-day full-feature trial with 50 credits. During the trial, you have access to Creator-tier features including:

• Full Content DNA with up to 5 pillars
• Unlimited idea capture and expansion
• All content generation formats
• Carousel generation
• Repurposing
• Direct posting to X and LinkedIn
• Voice adaptation

No credit card is required to start the trial. At the end of the 14-day period, if you have not subscribed, your account will be paused. Paused accounts retain read-only access to ideas, calendar, and library, but cannot generate new content. Your data remains stored for 90 days, after which it may be permanently deleted.

We reserve the right to limit trial access or require verification (email confirmation, phone verification) to prevent abuse.

Subscription Refunds: Reelyt offers a 7-day money-back guarantee for first-time subscribers. If you are not satisfied with the Service, you may request a full refund within 7 days of your initial subscription payment. Refunds are processed to the original payment method within 5–10 business days.

Refund eligibility:

• Applies to first-time subscribers only (one refund per user/account).
• Does not apply to renewals, upgrades, or top-up credit purchases.
• Does not apply if your account has been suspended for Terms violations.
• We reserve the right to deny refund requests that appear fraudulent or abusive.

Top-Up Credit Refunds: Top-up credits are non-refundable. However, if you delete your account with unused top-up credits, you may request a pro-rata refund of top-up purchases made within the last 30 days, subject to review.

Annual Plan Cancellations: If you cancel an annual plan after the 7-day refund window, you retain access until the end of the current billing year. No partial refunds are provided for unused months.

You agree not to use Reelyt to create, generate, distribute, or promote content that:

• Is illegal, fraudulent, or promotes illegal activity.
• Infringes on the intellectual property rights of others (copyright, trademark, trade secret, patent).
• Is defamatory, libelous, harassing, abusive, threatening, or discriminatory.
• Contains hate speech, promotes violence, or targets individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
• Is sexually explicit, pornographic, or obscene.
• Contains malware, viruses, worms, Trojan horses, or other harmful code.
• Impersonates any person or entity, or falsely states or misrepresents your affiliation with a person or entity.
• Involves spam, unsolicited advertising, pyramid schemes, or other deceptive practices.
• Attempts to reverse-engineer, decompile, disassemble, or otherwise extract the source code of the Service.
• Uses automated scripts, bots, scrapers, or other means to access the Service in ways that exceed reasonable manual usage patterns.
• Circumvents usage limits, credit systems, or access controls through technical means.
• Generates content intended to manipulate platform algorithms, evade content moderation, or deceive audiences (coordinated inauthentic behavior).
• Creates deepfakes, synthetic media intended to deceive, or misleading impersonations of real individuals.

Enforcement: Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account, forfeiture of credits, and referral to appropriate legal authorities. We cooperate with law enforcement and platform partners (X, LinkedIn) to address abuse.

Your Content: You retain all ownership rights to the ideas, text, brand assets, and other materials you input into Reelyt ("User Content"). We do not claim ownership of your User Content.

License to Reelyt: By using the Service, you grant Reelyt a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and process your User Content solely for the purpose of providing and improving the Service. This license includes:

• Using your Content DNA to generate personalized AI outputs.
• Storing your ideas, drafts, and published content in our systems.
• Analyzing your content history to provide gap analysis, topic tracking, and repetition warnings.
• Using anonymized patterns from your content to improve our AI models (never attributing specific content to you).

This license terminates when you delete your account, except where we are required to retain data by law or for legitimate business purposes (e.g., billing records).

Our Intellectual Property: Reelyt, the Reelyt logo, the Content DNA system, and all software, code, algorithms, designs, and materials provided by the Service are the exclusive property of Hixi Studio and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Feedback: If you provide feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate them into the Service without compensation or attribution.

Ownership of AI Output: You retain ownership of AI-generated content ("AI Output") that you create using Reelyt, subject to the following conditions:

• The AI Output must be substantially derived from your User Content and Content DNA.
• You must have the right to use all input materials (ideas, references, source content) that inform the generation.
• You are responsible for reviewing, editing, and ensuring the accuracy and appropriateness of AI Output before publishing.

No Guarantee of Uniqueness: While Reelyt personalizes content based on your Content DNA, we do not guarantee that AI Output will be entirely unique or that similar output will not be generated for other users. The underlying AI models (OpenAI GPT-4o, Anthropic Claude, Google Gemini) may produce structurally or thematically similar responses to similar prompts. You are responsible for ensuring your published content does not infringe on third-party rights.

Content Accuracy: AI-generated content may contain factual errors, outdated information, or unintended implications. Reelyt does not verify the accuracy of AI Output. You are solely responsible for fact-checking and verifying all content before publication.

Watermarking: Starter-tier visual outputs (images and carousels) carry a "Made with Reelyt" watermark. This watermark may not be removed, cropped, or obscured while on this tier. Creator and Pro tiers receive clean, unwatermarked output. Pro users may add custom footer branding.

AI Provider Terms: Your use of AI-generated content is also subject to the terms of the underlying AI providers (OpenAI, Anthropic, Google, Replicate, Ideogram). You agree to comply with their usage policies, which prohibit generating content that violates their safety guidelines.

Reelyt integrates with third-party platforms to enable direct content distribution. Current integrations include:

• X (Twitter): OAuth 2.0 connection for posting text, threads, and media. You must comply with X's Terms of Service and Developer Agreement.
• LinkedIn: OAuth 2.0 connection for posting text and multi-image carousels. You must comply with LinkedIn's Terms of Service and API Terms.

Platform Connection Terms:

• You are responsible for maintaining valid platform connections and renewing access tokens when required.
• If a platform revokes our API access or changes their terms, we may need to suspend or remove that integration with limited notice.
• Reelyt is not responsible for platform-specific content moderation decisions, account suspensions, or reach limitations imposed by X, LinkedIn, or other platforms.
• You must select your correct X plan (Basic, Premium, Premium+) so that Reelyt can generate content within your actual character limits. Generating content that exceeds your platform limits may result in failed posts.
• Direct posting is atomic for threads — all tweets in a thread are posted together. If one tweet fails, the entire thread may be partially posted. You are responsible for reviewing and managing partial thread states on the platform.

Future Platforms: We may add integrations for Instagram, TikTok, YouTube, Substack, Beehiiv, and other platforms. Availability depends on API access, platform policies, and business priorities.

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

Data We Collect:

• Account Information: Email, authentication provider, profile data.
• Content DNA: Your pillars, voice preferences, audience persona, branding assets.
• User Content: Ideas, drafts, generated content, published posts, calendar entries.
• Usage Data: Feature usage, credit consumption, generation history, streak data.
• Platform Connections: OAuth tokens, usernames, platform plan selections.
• Payment Data: Processed by Dodo Payments. We do not store full credit card numbers.

Data Storage & Processing:

• Data is stored in Firebase (Google Cloud Platform) with encryption at rest and in transit.
• AI processing occurs via OpenAI, Anthropic, Google, Replicate, and Ideogram APIs. Your data is transmitted to these providers for generation purposes only. We do not use your content to train third-party AI models without your explicit consent.
• We implement Firestore Security Rules, authentication checks, and input validation to protect your data.

Data Retention:

• Active account data is retained for as long as your account is active.
• Deleted account data is removed from active systems within 30 days.
• Billing records are retained for 7 years for tax and legal compliance.
• Anonymized usage patterns may be retained indefinitely for product improvement.

Your Rights: Depending on your jurisdiction, you may have rights to access, correct, delete, or port your personal data. Contact us at privacy@reelyt.app to exercise these rights.

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may experience downtime due to:

• Scheduled maintenance and updates.
• Unexpected technical issues, outages, or failures.
• Problems with third-party services (AI providers, payment processors, platform APIs).
• Force majeure events beyond our control.

No SLA: Reelyt is provided on an "as is" and "as available" basis. We do not offer a formal Service Level Agreement (SLA) or uptime guarantee for any tier, including Pro.

Rate Limiting: To ensure fair usage and system stability, we enforce rate limits:

• 60 requests per minute per user for API calls.
• Maximum 5 concurrent AI generation jobs per user.
• Additional jobs are queued and processed in order.

AI Provider Dependencies: Content generation depends on third-party AI providers (OpenAI, Anthropic, Google, Replicate, Ideogram). If these providers experience outages, generation may be delayed, fail, or fall back to alternative models. We implement retry logic (up to 2 retries per job) and automatic credit refunds for permanent failures.

Context Limits: AI operations have token budget caps to ensure quality and control costs. If your content history, idea board, or DNA profile is very large, older items may be truncated or summarized to fit within the model's context window. This is a technical limitation, not a service defect.

By You: You may cancel your subscription and delete your account at any time through the Profile settings. Cancellation takes effect at the end of your current billing cycle. Upon cancellation, you retain access until the cycle ends, after which your account is paused.

By Us: We may suspend or terminate your account, with or without notice, if we believe you have:

• Violated these Terms or the Acceptable Use Policy.
• Engaged in fraudulent payment activity or chargeback abuse.
• Created multiple accounts to circumvent limits or trials.
• Used the Service in a way that causes harm to other users, third parties, or Reelyt.
• Failed to pay for a subscription after the grace period.

Upon termination by us for cause, all credits (plan, top-up, bonus) are forfeited without refund. You will lose access to all User Content and AI Output stored in the Service.

Effect of Termination: Upon account deletion or termination:

• Your access to the Service ceases immediately.
• Platform connections (X, LinkedIn) are revoked.
• Scheduled content in the calendar is cancelled.
• Your data is queued for deletion per our Data Retention policy (Section 13).
• Provisions that by their nature should survive termination (intellectual property, liability limitations, indemnification) will survive.

To the maximum extent permitted by applicable law:

No Warranty: Reelyt is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• AI-generated content will be accurate, unique, appropriate for your audience, or free from factual errors.
• The Service will meet your specific content creation goals or business outcomes.
• Any errors in the Service will be corrected.

Liability Cap: In no event shall Hixi Studio, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Service.
• Any conduct or content of any third party on or related to the Service.
• Any content obtained from the Service, including AI-generated content that is inaccurate, offensive, or infringing.
• Unauthorized access to or alteration of your transmissions or data.
• Platform suspensions, content removals, or reach reductions imposed by X, LinkedIn, or other third-party platforms.

Our total liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

You agree to defend, indemnify, and hold harmless Hixi Studio, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law.
• Your User Content or AI Output, including any claim that your content infringes on a third party's intellectual property, privacy, or other rights.
• Your use of the Service in a manner that violates the Acceptable Use Policy.
• Your platform connections and posts made through Reelyt to X, LinkedIn, or other platforms.
• Any dispute between you and any third party arising from your use of the Service.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Governing Law: These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution: Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at support@reelyt.app. We will attempt to resolve the dispute within 30 days.

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, in Wilmington, Delaware, unless both parties agree to conduct it remotely.

Class Action Waiver: You agree that any proceedings, whether in arbitration or court, will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class actions against Hixi Studio.

Injunctive Relief: Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration.

We may update these Terms from time to time to reflect changes in our Service, business practices, or legal requirements. When we make material changes, we will:

• Post the updated Terms on this page with a revised "Last Updated" date.
• Notify you via email or in-app notification at least 30 days before material changes take effect.
• Require your acceptance of the updated Terms before you can continue using the Service.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Hixi Studio regarding the Service and supersede all prior agreements, understandings, and representations.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.

Electronic Communications: By using the Service, you consent to receive electronic communications from us. These communications may include notices about your account, subscription, and changes to these Terms.
